This specialist role focuses on evaluating AI model outputs, authoring domain-specific rubrics, and validating technical workflows involving Venture Financings, Corporate Governance, Equity Administration, Transaction Execution.

Project Responsibilities

• Exceptional organization and attention to detail, with the ability to independently drive matters from start to finish.
• Strong drafting, proofreading, project management, and communication skills.
• Support venture financings, secondary transactions, board and stockholder approvals, and other corporate matters, including drafting documents and coordinating with outside counsel.
• Own transaction execution from signatures, checklists, and document circulation through closing sets and post-closing matters.
• Maintain the company’s master data room and ensure corporate records remain accurate, organized, and current.
• Manage corporate governance and entity administration, including state filings, annual reports, minute books, organizational documents, and subsidiary records.
• Administer cap tables, equity plans, and equity grants, including grants, exercises, transfers, cancellations, and reconciliation of equity records.

Rate Structure & Remote Benefits

• Compensation Rate: $345,000 - $370,000/year (contract specialist remuneration)
